EDGE VENTURES PARENT / GUARDIAN TERMS & CONDITIONS

Applicable to: Schedule A — EDGE Ventures X Bear Grylls Survival Academy. Schedule B — EDGE Leadership Academy.

By enrolling a Student in an EDGE Ventures programme (each a “Programme”), the parent or legal guardian (“you”, “Parent/Guardian”) agrees to these Terms and Conditions on behalf of yourself and the enrolled child (“Student”).

How this document works. Part A (General Terms) applies to every EDGE Programme. Each Programme also has its own Schedule setting out terms specific to it, Schedule A for the Survival Academy and Schedule B for the Leadership Academy. When you enrol a Student, Part A applies together with the Schedule(s) for the Programme(s) you have booked. Where a Schedule conflicts with Part A, the Schedule prevails for that Programme only.

PART A — GENERAL TERMS (ALL PROGRAMMES)

1. Definitions

• EDGE / EDGE Ventures EDGE Future Leaders Investment L.L.C, Trade Licence 1618859, Bur Dubai, UAE, the contracting party for each Programme.
• Programme An EDGE Ventures programme in which a Student is enrolled, as described in the applicable Schedule, currently the Survival Academy (Schedule A) and the Leadership Academy (Schedule B).
• School The school at which a Programme is delivered.
• Student The enrolled participant.
• Parent/Guardian The legal guardian of a Student under 18.
• KHDA The Knowledge and Human Development Authority.

2. Enrolment and Registration

• Enrolment is via the applicable EDGE booking channel and is confirmed on a termly basis.
• A Student’s place does not automatically carry forward between terms, except that a Student enrolled for a full academic year has their place reserved for the following term without needing to re-book, subject to fees being paid in line with Section 4.
• For Students under 18, a Parent/Guardian must complete registration and provide the consents set out in this document before the Student’s first session.
• Enrolment is confirmed only on receipt of full payment (or an approved instalment arrangement) via the relevant payment channel.
• EDGE and the School reserve the right to refuse, limit, or defer enrolment at their discretion, including on the grounds of capacity, tier/age suitability, or the medical and fitness declaration in Section 3.
• Students may join a Programme after a term has started and EDGE will work with a mid-term joiner where reasonably possible to help them catch up on missed content, but no guarantees can be made where completion of sections of learning or external certificates depends on third parties. Enquiries about mid-term joining should be made directly to EDGE using the contact details in Section 19 first.

3. Medical History, Fitness and Emergency Authorisation

• Parents/Guardians must disclose, at the point of booking, any medical conditions, allergies, injuries, medication, or mobility considerations relevant to the Student’s safe participation.
• Each Programme may carry its own additional fitness, competence, or health requirements (for example swim competence for water-based modules, or fitness for height/harness-based activity). These are set out in the relevant Schedule and must be confirmed before the Student takes part in the affected activity.
• Participation in the Programmes involves physical activity that carries inherent risk that cannot be entirely removed by instructor supervision and safety protocol. The Parent/Guardian confirms the Student is physically fit and healthy enough to take part.
• An inaccurate or incomplete declaration under this Section may result in the Student’s removal from the Programme without refund, and may affect the validity of the liability protections in Section 8.
• EDGE, the School, or a delivery partner may require written medical clearance before a Student is permitted to (re)join a session following illness, injury, or a flagged medical condition.
• Fees are non-refundable in the event of withdrawal on medical grounds unless a valid medical certificate is provided which must be submitted via email.
• In the event of a medical emergency during a session, the Parent/Guardian authorises EDGE, the School, and the delivering instructors to seek emergency medical treatment and/or ambulance transport for the Student, and to act on the Parent/Guardian’s behalf where they cannot reasonably be contacted in time, with reasonable costs incurred to be reimbursed by the Parent/Guardian.

4. Fees and Payment

• Fees are payable in advance of each term unless otherwise agreed in writing under an approved instalment plan.
• Late payment may result in temporary suspension of the Student’s place pending settlement.
• Any equipment, kit, or offsite module costs beyond those included in the standard fee will be disclosed at the point of booking and charged separately.
• EDGE reserves the right to revise fees for future terms with 20 days’ prior notice. Fees already confirmed for a current term will not be revised mid-term.
• No refunds are issued for missed sessions or non-attendance while a Student remains enrolled. Where a Student withdraws from the Programme, refunds are handled in line with Section 15.
• No refunds will be issued under any circumstances for discount or promotional codes that were not used or applied at the time of registration and payment.
• Discount and promotional offers must be applied at the time of booking and before payment is completed. No refunds, credits, price adjustments, or retroactive discounts will be provided if a customer completes a payment without applying an available discount or promotional code.
• Where a session is cancelled by EDGE, the School, or the delivering instructor, a make-up session or credit will be offered.
• EDGE is not responsible for non-payment or delays by third-party organisers, or for cancellations by external partners.
• Where a Parent/Guardian materially breaches these Terms, EDGE may seek to recover reasonable legal costs it actually and necessarily incurs as a direct result of that breach.
• All invoices and billing information are issued electronically.
• Refund requests may take up to thirty (30) business days to be reviewed and responded to, with a further fourteen (14) working days required for processing once approved.
• If you register and pay for the Programme that later clashes with other activities starting after your Programme registration, not continuing, no refund or credit will be provided. However, make-up sessions will be offered. Any price adjustments will revert to the original cost.
• By enrolling, you acknowledge that all scheduled instalments become due in accordance with the agreed payment schedule, irrespective of attendance, except where otherwise required by law or expressly agreed in writing by EDGE Ventures. Customers must not pursue or initiate a chargeback or payment dispute in respect of a correctly authorised transaction. Where a chargeback is successfully obtained for a valid payment, the contractual debt remains outstanding and EDGE Ventures reserves the right to recover the balance, together with any administration, legal and recovery costs incurred.

5. Conduct and Behaviour Policy

• Respectful, safe behaviour toward instructors, staff, and fellow Students is mandatory. Bullying, harassment, or unsafe conduct is strictly prohibited.
• EDGE operates a conduct policy under which a Student who repeatedly breaches safety or behavioural expectations may be removed from the Programme without reimbursement of fees already paid.
• EDGE and the School retain final decision-making authority on suspension, removal, tier progression, and re-admission.

6. Attendance and Session Changes

• Regular attendance is expected to support progress towards accreditations and awards. EDGE and the School will use best endeavours to help a Student catch up on missed content, but missed sessions are not guaranteed to be rescheduled.
• EDGE reserves the right to change instructors, merge or cancel sessions, and adjust, relocate, or postpone outdoor or off-site sessions where reasonably necessary for safety, including heat, sandstorm, or air-quality conditions.
• In the event of force majeure or venue closure, sessions may be rescheduled or, where appropriate, delivered in an alternative format without fee adjustment.

7. Equipment and Kit

• Students must follow EDGE’s dress and uniform guidelines and wear any issued EDGE clothing when required.
• Durable programme equipment is provided by EDGE/School for the duration of the Programme and remains EDGE/School property.
• Students are expected to bring any personal kit items specified in the joining instructions for their Programme and tier.
• Students may be required to purchase official EDGE equipment or consumables for expeditions, intensives, or activities outside the standard school timetable; this will be clearly communicated in advance.

8. Liability Disclaimer

• UAE law does not permit EDGE, the School, or any delivering instructor to exclude or limit liability for death or personal injury caused by negligence, or for fraud or wilful misconduct. Nothing in these Terms excludes or is intended to exclude any such liability.
• The Programmes involve physically active elements, some outdoors and some off-site. Participation is undertaken with appropriate instructor supervision and safety protocol, but inherent risk cannot be entirely eliminated.
• EDGE, the School, and delivering instructors are not liable for loss of or damage to personal belongings, or for cancellations and disruptions beyond their reasonable control (including government restrictions, venue issues, or weather).
• Where an element of a Programme is delivered at, or by, a third-party facility or provider, that facility or provider is responsible for its own premises, equipment, qualified staff, and safety protocols under its own insurance, as further described in the relevant Schedule.

9. Insurance

• EDGE maintains public liability and personal accident insurance in connection with the Programmes.
• This insurance does not replace the Parent/Guardian’s own health or medical insurance for the Student, which remains the Parent/Guardian’s responsibility.
• Details of EDGE’s insurance cover are available on request by contacting EDGE using the details in Section 19.

10. Safeguarding and Child Protection

• EDGE is committed to safeguarding and promoting the welfare of all Students in accordance with UAE Federal Law No. 3 of 2016 Concerning Child Rights (“Wadeema’s Law”).
• All instructors and School staff involved in delivering a Programme, including any third-party delivery partners, are required to comply with EDGE’s Child Protection and Safeguarding Policy, a copy of which is available on request.
• Any safeguarding concern relating to a Student should be raised immediately using the contact details in Section 19, or directly with the School’s own child protection lead.

11. Photography, Filming and Brand Consent

• EDGE and the School may photograph or film sessions for internal record-keeping and safeguarding purposes. This is a necessary part of Programme delivery and is not optional. Data of this nature is stored for up to 3 years before it is deleted.
• Separately, Parents/Guardians are asked to give explicit consent (Yes/No) at the point of booking for their child’s image to be used in EDGE and School marketing.

12. Intellectual Property

• The curriculum, EDGE branding, and the names, marks, and materials of EDGE’s programme partners (including the Bear Grylls / BGSA marks and as applicable to the relevant Programmes/Academy) remain the property of their respective owners.
• Students and parents may not reproduce, distribute, or use materials for commercial purposes without consent.

13. Record Keeping and Data

• EDGE is the data controller for enrolment, attendance, assessment, medical-declaration, and consent records collected in connection with the Programmes, regardless of which entity delivers a given session.
• Data necessary for safe delivery (e.g. medical declarations, attendance) is shared with delivering instructors, the School, and any third-party delivery partner on a need-to-know basis.
• Payment details are processed securely via the applicable payment channel and are not stored, sold, or shared with third parties beyond what is required to deliver the Programme.
• Personal data, including sensitive data such as medical declarations, is processed in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. Parents/Guardians may request access to, correction of, or deletion of their and the Student’s personal data by contacting EDGE using the details in Section 19, and records are retained only for as long as necessary for Programme delivery, safeguarding, and legal/regulatory requirements.

14. Complaints and Grievance Procedure

• Parents/Guardians with a concern about a Programme are encouraged to raise it in the first instance with the delivering instructor.
• Where a concern is not resolved informally, a Parent/Guardian may submit a written complaint to EDGE using the contact details in Section 19. EDGE will aim to acknowledge a written complaint within 5 working days and provide a substantive response within 15 working days.

15. Termination and Disciplinary Action

• Parents/Guardians may withdraw a Student from a Programme at any time. Fees paid for the current term are refundable on a pro-rata basis up to the end of the third session of that term; after the third session fees already paid are non-refundable, save at EDGE’s discretion in exceptional circumstances.
• EDGE reserves the right to terminate a Student’s enrolment for non-payment, misconduct, breach of these Terms, or on medical/fitness grounds under Section 3. No refund is issued in such cases.

16. Parent/Guardian Responsibilities

• Ensure timely payment of fees.
• Provide a complete and accurate medical and fitness declaration, and update it promptly if circumstances change.
• Support attendance, punctuality, and appropriate kit for each session.
• Inform EDGE/School promptly of any absence, injury, or medical development relevant to the Student’s participation.

17. Governing Law and Regulatory Compliance

• These Terms are governed by the laws of the UAE and the Emirate of Dubai.
• EDGE Ventures operates its programmes with reference to applicable standards set by the Knowledge and Human Development Authority (KHDA).

18. Amendments

• EDGE reserves the right to update these Terms and Conditions between terms. Continued enrolment in a subsequent term constitutes acceptance of the then-current Terms.

SCHEDULE B — EDGE LEADERSHIP ACADEMY

This Schedule applies in addition to Part A for any Student enrolled in the Leadership Academy.

B1. Programme-Specific Definitions

• Leadership Academy / the Programme EDGE’s leadership and resilience programme, built on the ETHOS methodology (Explore, Translate, Harmonise, Own, Sustain), delivering scenario-based leadership development as described in this Schedule.
• ETHOS-EG A specialist leadership provider (ETHOS-EG) engaged by EDGE as an external vendor to deliver certain elements of the Leadership Academy. ETHOS is not the contracting party; EDGE remains the contracting party under these Terms.
• Leadership Instructor An instructor delivering the Leadership Academy for after-school modules, or an ETHOS instructor engaged by EDGE.
• High Ropes Facility The third-party high ropes / adventure facility at which the Day 3 activity of the 5-day intensive is delivered.

B2. The Leadership Academy

• The Leadership Academy is delivered in two formats: (a) after-school modules (typically one hour per module) delivered on School premises; and (b) a 5-day premium intensive delivered off-site.
• The programme is scenario-based and includes operations-room simulations and consequence-driven decision-making exercises, observed and assessed by Leadership Instructors.
• The 5-day premium intensive is intended for Students aged 16 to 18. Age suitability for after-school modules is communicated at the point of booking.
• Programme content, structure and progression criteria are set by EDGE (with its delivery partners) and may be updated between terms.

B3. Delivery and Personnel

• After-school modules are delivered by EDGE instructors.
• The 5-day intensive is delivered by both EDGE instructors and ETHOS-EG instructors engaged by EDGE as an external vendor for certain aspects of this Programme. EDGE remains the Programme lead and the contracting party; ETHOS delivers under EDGE’s engagement and supervision framework.
• EDGE may change instructors or delivery partners where reasonably necessary, without fee adjustment, provided the standard of delivery is maintained.

B4. 5-Day Intensive — Off-Site, Non-Residential

• The 5-day intensive is held at an approved off-site venue (for example a hotel or similar).
• The intensive is non-residential. Students attend each day during scheduled programme hours and return home each evening. EDGE/ETHOS-EG supervision applies during scheduled programme hours only, and does not extend to overnight care or to travel outside the scheduled programme unless expressly arranged in writing.
• Unless EDGE expressly arranges transport (see Section B6), the Parent/Guardian is responsible for the Student’s drop-off and collection at the off-site venue each day, at the times set out in the joining instructions.

B5. Day 3 — Off-Site High Ropes Activity

• On Day 3 of the intensive, Students attend a High Ropes Facility, a third-party adventure facility, for a supervised high ropes activity.
• The High Ropes Facility operates its own premises, equipment, qualified staff, safety protocols, and insurance. Students participate subject to that facility’s rules, safety briefings, and instructions. EDGE arranges access to and supervision to and from the activity but is not the operator of the facility and does not control its equipment or on-site safety systems.
• Explicit Parent/Guardian consent to the off-site high ropes activity is required at the point of booking. A Student for whom consent is not given, or who does not meet the facility’s participation requirements, will be offered an alternative supervised activity where reasonably possible.
• The high ropes activity is a physically active, height-based activity carrying inherent risk that cannot be entirely removed by supervision or safety equipment.

B6. Transport

• Where EDGE arranges transport to and from the High Ropes Facility (or any other off-site element), details and any associated cost will be disclosed at booking and the Parent/Guardian’s consent obtained. Where EDGE does not arrange transport, the Parent/Guardian is responsible for the Student’s travel to and from the off-site venue.

B7. Fitness for Height / Harness-Based Activity

• In addition to the general medical and fitness declaration in Part A Section 3, the Parent/Guardian must disclose at booking any condition that may affect the Student’s safe participation in height or harness-based activity (for example relevant cardiac, mobility, orthopaedic, seizure, or acute anxiety conditions). EDGE or the High Ropes Facility may require this before the Student takes part in the Day 3 activity.

B8. Catering, Food and Beverage, and Allergies

• The 5-day intensive includes catered food and beverage provision at the off-site venue.
• The Parent/Guardian must disclose all dietary requirements and food allergies (including severe or anaphylactic allergies) at the point of booking. EDGE will share this with the venue and delivery partners on a need-to-know basis, but cannot guarantee an allergen-free environment at a third-party venue.

B9. Accreditation

• Where a Student meets the relevant completion and attendance criteria, the Leadership Academy works towards Institute of Leadership & Management (ILM) accreditation (as applicable to the tier booked). ILM registration fees per Student are included. Award of any external certificate depends on the accrediting body and cannot be guaranteed by EDGE alone.

B10. Intellectual Property

• The EDGE methodology and materials, the ILM name and marks remain the property of their respective owners and are used by EDGE under the applicable arrangements.
